Terms of Service

1. Agreement

These Terms of Service (the "Terms") are a binding agreement between the person or entity that uses the desk ("Customer") and FiveToClose ("FiveToClose"). The desk is offered at stvir.app under the name Stvir (the "Service"). The Privacy Notice and the Legal Notice are part of these Terms. Customer accepts these Terms by signing in, by paying, or by using the Service. If Customer does not accept them, Customer shall not use the Service.

2. The Service

The Service makes a vertical film from a description Customer provides, finishes a cut from a video Customer uploads, and builds a carousel of still slides from a subject Customer provides. A short film is one clip of about 8 seconds and uses 1 film credit. A long film is three clips joined into about 30 seconds and uses 4 film credits. A finished cut is framed vertical at the resolution of the plan. A short cut is kept to about 12 seconds. A long cut is kept to about 60 seconds. An uploaded video is limited to 80 megabytes.

The Service prepares the files and keeps them on the account. Customer posts those files from Customer's own accounts. The Service does not sign in to Instagram, TikTok, or any other network on Customer's behalf. The Service is available in a web browser, including a phone browser. A native application for iPhone or Android is not part of the Service on the effective date of these Terms. If FiveToClose later makes such an application available, the subscription then in force includes it at no additional charge. This section is not a covenant to build an application, and it states no delivery date.

3. Eligibility and accounts

Customer represents that Customer is at least 18 years old, or the age of majority where Customer lives, whichever is older. Access requires a Google account that can provide an email address. Customer is responsible for that Google account, for keeping it under Customer's control, and for the activity on the desk while the session is open. The session is recognized by a cookie named stvir.

4. Plans and film credits

Paid use is a monthly subscription in United States dollars. Standard is $99 per month and makes films at 720p. Plus is $197 per month and makes films at 1080p. Plus may also be used at 720p. Each plan includes 12 film credits in a calendar month, counted in Coordinated Universal Time. A film credit is used when the film is delivered to the account. A film that is not delivered does not use a credit. Unused credits end when the month ends and do not carry forward.

Edits and carousels are included with the subscription and do not use film credits. Choosing 1080p on a Standard subscription opens checkout for Plus. When a new subscription for a different plan is completed, FiveToClose cancels the previous subscription.

5. Payment, renewal, and cancellation

Customer signs in with Google and pays through Stripe. The sales view does not charge the card. The desk opens for paid use when Stripe reports that the subscription payment is complete. The subscription renews each month until Customer cancels it. Stripe charges the card on file for the following month. If a renewal charge fails, access to paid use closes once Stripe no longer reports the subscription as active or trialing.

Customer cancels from the Billing link on the desk, which opens the Stripe billing portal. Customer must cancel before renewal in order to avoid the next charge. Access continues while Stripe reports the subscription as active or trialing, including through the end of a period already paid when cancellation is set for the end of that period. Cancellation does not delete files already stored on the account. The card number remains with Stripe.

6. Refunds

Fees already paid are not refunded for a change of mind, for unused film credits, or for a film, cut, or carousel Customer does not wish to use. This section does not waive a refund, a correction, or a remedy that the law requires, including an unauthorized charge or a charge that did not open the desk. A refund request shall be sent to support@fivetoclose.cloud from the Google email address on the account and shall state the date of the charge.

7. Customer material and finished files

Customer keeps whatever rights Customer already has in the words Customer types and in the footage Customer uploads. Customer grants FiveToClose a limited right to process that material, to send a film or carousel instruction to the generation provider, and to store and return the finished file, only as needed to provide the Service. The finished files are produced for Customer's account.

FiveToClose does not warrant that a film, a cut, or a carousel is original, accurate, free of third-party rights, or fit to publish. Customer shall review every file before posting it. Another customer who submits a similar description may receive a similar film. Customer is responsible for the footage Customer uploads and for the use Customer makes of a finished file.

8. Acceptable use

Customer shall not use the Service to break the law, to attack the Service or another system, to share access with the public, or to present the Service as Customer's own product. Customer shall upload only footage Customer has the right to use. FiveToClose may suspend or close an account that breaks this section. Suspension or closure does not, by itself, refund a month already paid.

9. FiveToClose property

FiveToClose retains all rights in the Service, the stvir.app site, and the name Stvir, except for the files produced for Customer's account and the footage Customer uploads. Customer receives no right to copy the Service, to resell access to it, or to present it as Customer's own product.

10. Disclaimer

The Service may be interrupted, delayed, or incorrect. A film, a cut, or a carousel may fail, and a failed attempt may still consume provider capacity. To the fullest extent the law allows, the Service is provided as it runs, without a warranty of merchantability, fitness for a particular purpose, or non-infringement, and without a promise that any file will suit a particular post or campaign. Nothing in these Terms removes a right, a guarantee, or a remedy that the law does not allow FiveToClose to remove.

11. Limitation of liability

To the fullest extent the law allows, FiveToClose is not liable for lost profits, lost data, or indirect or consequential loss arising out of the Service or these Terms. FiveToClose's total liability arising out of the Service in a calendar month will not exceed the fees Customer paid for the Service in that month. This limit does not apply where the law forbids it, including liability that cannot legally be limited.

12. Changes

FiveToClose may revise these Terms by posting the revised text on stvir.app. The revised text applies from the date stated on the page. Continued use after that date is acceptance of the revision. If Customer does not accept a revision, Customer shall cancel under section 5.

13. Notices

Legal notices and account questions go to support@fivetoclose.cloud. Customer shall identify the account. Customer shall not send a password or a full card number.

14. General

These Terms, the Privacy Notice, and the Legal Notice are the entire agreement for the Service. If a court holds one provision unenforceable, the remaining provisions stay in force. A failure to enforce a provision is not a waiver of it. Customer may not assign these Terms. FiveToClose may assign them in connection with the Service. These Terms do not name a court. A dispute is brought only in a court that has authority over the parties.
